1. Introduction

Welcome to SunDatta.com (hereinafter referred to as the “Website”), owned and operated by Sun Datta (hereinafter referred to as “Sun Datta”, “we”, “us”, or “our”). We specialize in providing a comprehensive suite of digital services, including but not limited to, custom website development, application development, WordPress solutions, Search Engine Optimization (SEO), and other digital consulting services (collectively, the “Services”).

This document, our Terms and Conditions (also referred to as “Terms of Service” or “Service Agreement”), constitutes a legally binding agreement between you, the client (hereinafter referred to as “you” or “Client”), and Sun Datta. This Service Agreement governs your access to and use of our Website and the engagement of our Services. By accessing our Website, engaging our Services, or signing a project proposal, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety. If you do not agree with any part of these terms, you must not use our Website or Services.

2. Acceptance of Terms

Your access to and use of the SunDatta.com Website and its Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and clients who access the Website or engage our Services. By accessing or using the Website, you unequivocally agree to be bound by this Service Agreement. This acceptance forms a contractual relationship between you and Sun Datta.

3. Services Provided

Sun Datta offers a wide range of professional digital services tailored to meet the unique needs of our clients. Our core areas of expertise include:

  • Website Design and Development: Crafting bespoke, responsive, and user-friendly websites from the ground up. This includes front-end design, back-end development, and e-commerce solutions.

  • Application Development: Designing and building custom mobile and web applications for various platforms.

  • WordPress Development: Specializing in custom WordPress theme and plugin development, site optimization, and maintenance.

  • Search Engine Optimization (SEO): Implementing strategies to improve website visibility and ranking on search engines. This includes on-page, off-page, and technical SEO.

  • Digital Services and Consultation: Providing expert advice and services in areas such as digital strategy, website maintenance, and performance optimization.

The specific scope, deliverables, and timelines for any project will be detailed in a formal Project Proposal or Scope of Work document, which will be provided to and agreed upon by the Client before the commencement of any work. This Service Agreement governs all such proposals.

4. Intellectual Property Rights

All intellectual property rights related to the work we perform are handled with clarity and fairness.

  • Our Intellectual Property: All pre-existing materials, code, software, design frameworks, know-how, and other intellectual property owned by or licensed to Sun Datta and used in connection with the Services shall remain the sole property of Sun Datta.[1]

  • Client-Owned Work: Upon our receipt of full and final payment from the Client for a completed project, Sun Datta will grant and assign to the Client all rights, title, and interest in the final, custom-designed, and custom-developed project deliverables.[2][3] This includes the unique visual design, and any custom code specifically written for the Client’s project.

  • Third-Party and Open-Source Materials: In the event that any third-party or open-source materials (e.g., stock photos, licensed fonts, third-party plugins) are used in a project, the intellectual property rights to these materials will remain with their respective owners. We will ensure that such materials are properly licensed for your use, and you agree to abide by the terms of those licenses.[2]

  • Portfolio Rights: Sun Datta retains the right to display and showcase the completed project in our portfolio, marketing materials, and on our Website for promotional purposes, unless a non-disclosure agreement (NDA) has been signed that explicitly prohibits this.[4]

5. User and Client Responsibilities

To ensure a successful and efficient project, the Client agrees to the following responsibilities:

  • Provide Accurate Information: The Client must provide accurate, complete, and timely information, as well as all necessary materials (e.g., text, images, brand guidelines) required for the project.[1]

  • Lawful Use: The Client agrees not to use our Services for any purpose that is illegal, unethical, or prohibited by these terms. This includes, but is not limited to, the creation of websites that promote hate speech, illegal activities, or contain infringing content.

  • Timely Feedback and Approvals: The Client is responsible for providing timely feedback and approvals at key stages of the project. Delays in providing feedback may impact project timelines.

  • Client Content Ownership: The Client represents and warrants that they own or have the legal right to use all content, including text, images, logos, and any other materials provided to us for the project.[2] The Client agrees to indemnify and hold Sun Datta harmless from any claims arising from the use of such materials.

6. Payments and Refunds

Our payment and refund policies are structured to be transparent and fair.

  • Payment Terms: All fees and payment schedules will be explicitly outlined in the project proposal. Typically, projects require an upfront deposit (e.g., 50%) before work commences, with the remaining balance due upon completion and before the final deliverables are handed over.

  • No Refunds for Services Rendered: Due to the nature of digital services, payments for work that has already commenced or been completed are non-refundable. The initial deposit is non-refundable as it covers the costs associated with project initiation, research, and resource allocation.

  • Late Payments: Invoices are due upon receipt unless otherwise specified. Payments not received within the agreed-upon timeframe may be subject to late fees and may result in a temporary suspension of work on the project.

7. Project Timelines

All project timelines provided in proposals are good-faith estimates.[4] The final delivery date can be affected by several factors. We will make every reasonable effort to meet the agreed-upon deadlines; however, Sun Datta is not liable for delays caused by:

  • The Client’s failure to provide necessary content, feedback, or approvals in a timely manner.

  • Changes to the project scope requested by the Client after the initial agreement.

  • Technical issues or dependencies related to third-party services.

Any significant changes to the project scope will require a revised timeline and may incur additional costs, which will be agreed upon in writing.

8. Client Content

The Client is solely responsible for all content they provide for their project. This includes ensuring that all text, images, videos, and other materials do not infringe upon the intellectual property rights of any third party.[2] The Client agrees to indemnify, defend, and hold harmless Sun Datta from any and all claims, damages, and expenses (including reasonable legal fees) arising from any third-party claim of intellectual property infringement related to the content provided by the Client.

9. Third-Party Tools and Plugins

In the course of a project, it may be necessary to integrate third-party tools, software, or plugins (e.g., payment gateways, social media feeds, analytics services). While we will make every effort to integrate these tools seamlessly, Sun Datta is not responsible for the performance, security, or any issues arising from these third-party services.[2] The Client is responsible for complying with the terms and conditions of these third-party providers.

10. Limitation of Liability

To the fullest extent permitted by law, Sun Datta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the Website or our Services.

  • Any bugs, viruses, or other harmful code that may be transmitted to or through our website by any third party.

  • Any errors or omissions in any content, or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service.

  • Website downtime or data loss.

In no event shall the aggregate liability of Sun Datta for any and all claims arising out of or related to this agreement exceed the total amount paid by the Client to Sun Datta for the specific project in question.

11. Confidentiality

Sun Datta is committed to maintaining the confidentiality of our clients’ information.[5][6][7] We will not disclose any confidential information provided by the Client to any third party without the Client’s prior written consent, except where required by law.[5] This includes project details, business strategies, and any proprietary data shared during our engagement. Similarly, the Client agrees to keep any proprietary information or processes shared by Sun Datta confidential.

12. Termination of Services

Sun Datta reserves the right to suspend or terminate a project or service agreement under the following circumstances:

  • Non-Payment: If the Client fails to make payments as per the agreed schedule.

  • Breach of Terms: If the Client breaches any of the terms outlined in this Service Agreement.

  • Lack of Communication: If the Client is unresponsive for an extended period, causing significant delays to the project.

Upon termination, the Client will be invoiced for all work completed up to the date of termination.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. Any changes will be effective immediately upon posting the revised version on this page. We will update the “Last updated” date at the top of this page. It is your responsibility to review these Terms periodically for changes. Your continued use of the Website or our Services following the posting of any changes constitutes acceptance of those changes.

14. Governing Law

This Service Agreement, and any dispute or claim arising out of or in connection with it, shall be governed by and construed in accordance with the laws of India.[8] You agree to submit to the exclusive jurisdiction of the courts located in India to resolve any legal matter arising from these terms.
